Startups and M&A

Our services include transactional legal services and advice for startups, particularly in regulated sectors.

We provide comprehensive legal advice in the area of merger and acquisitions, with special regard to the regulatory and tax aspects of the transactions. Our advice covers the full range of activities for mergers and acquisitions, such as due diligence, structuring the transaction, preparation of all relevant documents and organization of the closing.

We also specialize in investing in startups. Our advisory services include various forms of venture capital (VC) and private equity financing for startup projects, including convertible loan (CLA), SAFEs, and direct equity investments.

Unlike other law firms we are able to provide an in-depth view of areas relating to the financial and fintech sector as well as ensure the necessary degree of reflection as to the regulatory requirements. Typically, with fintech startups it is necessary in the planning phase of the transaction to consider the fundamental regulatory outcomes that might be brought on by the change to the client.

We also specialize in advising on issues regarding the remuneration of statutory bodies and other persons in companies. We are able to prepare a virtual and a real stock option program (ESOP) tailored to the requirements of the particular company and its phase of development.
